1. About HW-Key Tool
HW-Key Software (“HW-Key”, “we”, “us”) provides HW-Key Tool, a professional software platform intended for qualified mobile device technicians and repair businesses. The Service may include device servicing utilities, firmware-related operations, server-based authorizations, and FRP recovery, each subject to the lawful-use restrictions in this document.
HW-Key provides technical tools and infrastructure only. We do not operate as a law firm, regulator, carrier, manufacturer, or law-enforcement agency, and we do not verify the legal status of every device processed through the Service.
2. No legal advice; your compliance obligation
Nothing in the Service, on this website, in documentation, or in support communications constitutes legal, regulatory, telecommunications, or professional advice. You alone are responsible for determining whether your intended use is lawful in your country, region, state, or jurisdiction, including laws governing mobile devices, security features, consumer protection, telecommunications, privacy, intellectual property, and professional licensing.
If you are uncertain about legality, you must seek independent legal advice before using the Service. Your decision to proceed is made entirely at your own risk and on your own responsibility.
3. Lawful use and professional purpose
You may use the Service only for legitimate professional mobile servicing activities permitted by applicable law. You represent and warrant that every operation you initiate is necessary, proportionate, and lawful for the stated repair or recovery purpose, and that you will comply with manufacturer terms, carrier policies, and applicable regulatory requirements where they apply to you.
4. Device ownership and proof of authorization
You may use the Service only on devices that you lawfully own, or on devices for which you have obtained valid written authorization from the lawful owner (for example, a repair shop acting for a customer with documented consent).
Upon request by HW-Key, a reseller, or a competent authority, you must promptly provide satisfactory evidence of ownership or lawful authorization, such as purchase documentation, repair intake records, customer authorization, business registration where relevant, or other proof we reasonably require. Failure to provide such evidence when requested may result in suspension, termination, or refusal of service.
5. FRP recovery — lawful access only
Where the Service includes FRP (Factory Reset Protection) recovery or similar account-lock recovery functions, these features are permitted only to restore lawful access to a device that you own, or to a device you are servicing with valid written authorization from the lawful owner, after legitimate factory reset, servicing, or ownership recovery circumstances.
FRP recovery features must not be used to regain access to devices that are stolen, lost by another person, subject to dispute, or otherwise not lawfully under your control. HW-Key does not provide tools for unauthorized security circumvention.
6. Prohibited uses
You must not use, attempt to use, or facilitate use of the Service for any prohibited purpose, including but not limited to:
- Processing stolen, lost, misappropriated, or fraudulently obtained devices;
- Circumventing device security, locks, or protections without lawful authority;
- Fraud, misrepresentation, identity concealment, or evasion of lawful investigation;
- Violating the rights of device owners, manufacturers, carriers, networks, software licensors, or other third parties;
- Any unlawful, deceptive, abusive, or harmful activity;
- Abuse of credits, billing, API limits, or security controls; or
- Any use that would cause HW-Key to violate applicable law.
We may investigate suspected violations and cooperate with rights holders or authorities where legally required or appropriate.
7. Technical and operational risks
Mobile servicing is inherently technical and may carry serious risk. Without limitation, use of the Service may result in:
- Permanent device damage, including “bricking” or hardware impairment;
- Data loss, corruption, or incomplete recovery;
- Bootloop, instability, or loss of functionality;
- Voiding of manufacturer or seller warranty;
- Irreversible consumption of credits or digital entitlements; or
- Service unavailability, compatibility failure, or operation error.
You are solely responsible for backups, diagnostics, compatibility checks, and evaluating whether a procedure is appropriate for the specific device and situation.
8. Disclaimer of warranties
Subject to any rights that cannot be excluded or limited under mandatory applicable law (including, where applicable, consumer protection laws in the European Union, Germany, or other jurisdictions), the Service is provided on an “as is” and “as available” basis.
To the maximum extent permitted by applicable law, HW-Key disclaims all warranties and conditions, whether express, implied, or statutory, including any implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, title, non-infringement, accuracy, availability, compatibility, or uninterrupted operation.
Nothing in this Legal Notice excludes or limits liability where such exclusion or limitation would be unlawful, including liability arising from intentional misconduct (Vorsatz) or gross negligence (grobe Fahrlässigkeit) under mandatory German law, or liability for death or personal injury caused by negligence where exclusion is not permitted.
9. Limitation of liability
To the maximum extent permitted by applicable law, HW-Key and its owners, directors, officers, employees, agents, affiliates, licensors, suppliers, resellers, and distributors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, business, goodwill, data, devices, credits, reputation, or anticipated savings, arising out of or related to the Service, whether in contract, tort (including negligence), strict liability, or otherwise, even if advised of the possibility of such damages.
To the maximum extent permitted by applicable law, our total aggregate liability for all claims arising out of or relating to the Service shall not exceed the greater of: (a) the amount you paid directly to HW-Key for the specific Service giving rise to the claim during the twelve (12) months before the event; or (b) ten United States dollars (USD $10).
Where mandatory law grants you non-waivable rights or remedies, those rights remain unaffected. This limitation applies only to the extent permitted by the law governing your use of the Service.
10. Indemnification
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless HW-Key and its owners, directors, officers, employees, agents, affiliates, licensors, suppliers, resellers, and distributors from and against any claims, demands, investigations, damages, losses, liabilities, penalties, fines, costs, and expenses (including reasonable legal fees) arising out of or related to:
- Your use or misuse of the Service;
- Your breach of this Legal Notice, our Terms of Service, or applicable law;
- Your processing of any device without lawful ownership or authorization;
- Any unlawful FRP or security-related activity initiated by you; or
- Any infringement or violation of third-party rights connected to your activities.
11. Suspension, refusal, and termination
HW-Key reserves the right, with or without notice where permitted by law, to refuse, suspend, restrict, or terminate any account, authorization request, credit use, API access, or operation if we reasonably suspect unlawful use, prohibited use, fraud, abuse, security risk, false ownership claims, or violation of this Legal Notice or our Terms of Service.
We are not obliged to provide the Service to any person or for any operation, and we may implement technical, geographic, or compliance-based restrictions at our discretion to protect users, third parties, and the integrity of the platform.
12. Usage records, security, and compliance
We may create and retain usage logs, authorization records, account activity, security events, and related technical data for purposes including service delivery, billing validation, fraud prevention, abuse detection, legal compliance, dispute handling, and protection of HW-Key, users, and third parties.
Processing of personal data is described in our Privacy Policy. Where the GDPR or other applicable data-protection laws apply, we process data on lawful bases such as contract performance, legitimate interests (including security and fraud prevention), and legal obligation, and we respect applicable data-subject rights as set out in the Privacy Policy. We retain data only as long as reasonably necessary for these purposes unless a longer retention period is required by law.
13. Credits and digital services — refund limitations
Credits, packages, server authorizations, and other digital services may be consumed immediately upon initiation or completion of an operation. Once processing has started or a credit has been consumed, refunds are generally not available, except where mandatory consumer law requires otherwise.
Purchases made through resellers or distributors are also subject to their refund and billing policies. See Section 16 below and our Terms of Service for the general refund framework.
14. Trademarks and third-party brands
All manufacturer names, brand names, model names, logos, and trademarks mentioned in the Service or on this website are the property of their respective owners. Reference to any third-party brand, device, chipset, or platform is for identification and compatibility purposes only and does not indicate sponsorship, endorsement, partnership, authorization, or approval by that third party unless explicitly stated in writing by HW-Key.
15. Sanctions, export controls, and restricted territories
You may not use, export, re-export, transfer, or access the Service in violation of applicable sanctions, embargo, export-control, or trade-restriction laws. You represent that you are not located in, ordinarily resident in, or controlled by a person or entity subject to comprehensive sanctions or appearing on applicable restricted-party lists, and that you will not use the Service on behalf of such persons or for prohibited end uses.
16. Relationship between policies
This Legal Notice forms part of the contractual and informational framework governing your use of HW-Key Tool, together with:
- Terms of Service — account rules, credits, packages, acceptable use, and general refund principles;
- Privacy Policy — how personal data is collected, used, stored, and protected; and
- Refund Policy (as stated in the Terms of Service) — credit and package refund handling, especially for reseller purchases and consumed operations.
If there is a conflict, mandatory law prevails. Otherwise, for matters relating to liability, warranties, lawful use, FRP restrictions, and prohibited conduct, this Legal Notice and the Terms of Service should be read together, and the provision offering greater clarity on lawful-use obligations applies. Nothing in these documents reduces non-waivable consumer rights where applicable.
17. Changes, governing law, and severability
We may update this Legal Notice from time to time. The “Last updated” date above indicates the latest revision. Continued use after changes are posted constitutes acceptance of the updated Legal Notice, except where applicable law requires additional consent or notice.
This Legal Notice is governed by applicable law as stated in our Terms of Service, without prejudice to mandatory consumer protections in your jurisdiction. If any provision is held invalid or unenforceable, the remaining provisions remain in effect to the fullest extent permitted by law.
